Private network access

Ninth Wave is a private network. Requesting access does not guarantee approval, and approved access may be limited, suspended, or revoked to protect the network.

You are responsible for submitting accurate information and keeping account credentials secure.

Eligibility

Ninth Wave is built for credit professionals and is offered only to individuals acting on behalf of institutional participants in the private credit market — including credit funds, business development companies, family offices, private lenders, and the brokers and advisors who represent borrowers. It is not intended for consumers or for personal, family, or household use.

You must be at least 18 years old and authorized to act for the firm you represent. Approval is granted at Ninth Wave's discretion, and we may verify your role or affiliation before granting or continuing access.

No financing commitment

Ninth Wave helps route private credit opportunities and lender preferences. The platform does not guarantee that any deal will be funded, that any lender will opt in, or that any broker will select a particular lender.

Information shown in demos, examples, and illustrative interface elements is not a credit recommendation or a commitment to lend.

User-submitted information

You should submit only information you are authorized to share. Deal details, mandate preferences, call transcripts, and match responses may be used to operate the matching and double opt-in workflow.

You retain responsibility for reviewing lender-provided and borrower-provided materials before relying on them.

Double opt-in introductions

Introductions depend on the broker selecting a lender and the lender opting in. Anonymous market activity and raise-hand signals may inform workflow context but do not automatically create an introduction.

Ninth Wave may moderate, delay, or decline introductions where needed to protect trust, confidentiality, or platform integrity.

AI-assisted workflow

Reid and other AI-assisted features help collect, structure, and summarize information. Outputs may be incomplete or incorrect and should be reviewed before business decisions are made.

Ninth Wave may update prompts, models, scoring logic, and workflows over time.

Acceptable use

You may not misuse the site or platform, attempt unauthorized access, scrape non-public data, interfere with service operations, or submit unlawful, misleading, or confidential information you are not authorized to provide.

The site and platform are provided as-is, subject to availability, security, and operational constraints.

Disclaimers and limitation of liability

The site and platform are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Ninth Wave does not warrant that the service will be uninterrupted, error-free, or secure, or that any information, match, or AI-generated output is complete or accurate.

Ninth Wave is not a lender, broker-dealer, investment adviser, or fiduciary, and nothing on the platform is financial, investment, legal, or tax advice. You are solely responsible for your own diligence and decisions.

To the fullest extent permitted by law, Ninth Wave and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, business, or data, arising out of or relating to your use of the site or platform. Our total liability for any claim will not exceed the greater of (a) amounts you paid Ninth Wave, if any, in the twelve months before the claim, or (b) one hundred U.S. dollars ($100).

Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute relating to these terms or your use of the site or platform will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

If any provision of these terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it.

Changes and contact

We may update these terms as the platform evolves. Material changes will be reflected in the date above, and continued use after an update means you accept the revised terms.
